These Terms & Conditions ("Terms") govern the use of this website and all photography, videography, post-production and related creative services ("Services") provided by Shadow & Light Advertising ("we", "us", "our"), a proprietorship based at Near Anar Medical, Saurashtra Society, Virvakram Nagar, Ambawadi, Ahmedabad, Gujarat 380006, India. By accessing this website, submitting an enquiry, or engaging our Services, you ("Client", "you") accept these Terms in full. If you do not accept them, please do not use this website or our Services.

1. Definitions

  • Shoot — any scheduled photography or videography assignment.
  • Deliverables — edited photographs, videos, reels or other final files supplied to the Client.
  • Booking — a shoot confirmed in writing (email, WhatsApp or signed quotation) and secured by the advance payment.

2. Scope of Services

The exact scope, deliverable count, shoot duration, locations, crew, and turnaround time are set out in the written quotation or proposal issued to the Client. Anything not expressly listed in that quotation is outside scope and will be quoted separately. Creative direction, styling choices, and final selection of frames remain at our professional discretion unless agreed otherwise in writing.

3. Quotations, Booking and Payment

  • Quotations are valid for 15 days from the date of issue unless stated otherwise.
  • A booking is confirmed only on receipt of a non-refundable advance of 50% of the quoted amount. The date is held for the Client only after this advance is received.
  • The balance is payable before delivery of final Deliverables, unless a different schedule is stated in the quotation.
  • All prices are in Indian Rupees (INR). Applicable taxes, including GST where chargeable, are additional and will be shown separately on the invoice.
  • Travel, accommodation, permits, location fees, models, stylists, props, set construction, hired equipment and similar third-party costs are billed at actuals unless included in the quotation.
  • Payments are accepted by bank transfer or UPI. Any payment-gateway or bank charges are borne by the Client.
  • Invoices unpaid beyond 15 days from the invoice date may attract interest at 1.5% per month on the outstanding amount.

4. Rescheduling and Cancellation

  • The advance is non-refundable in all cases, as the date is blocked exclusively for the Client.
  • Cancellation more than 7 days before the shoot: no further charge beyond the advance and any costs already incurred.
  • Cancellation within 7 days of the shoot: 50% of the total quoted amount is payable.
  • Cancellation within 48 hours of the shoot, or non-appearance on the shoot day: 100% of the total quoted amount is payable.
  • One reschedule is permitted free of charge if requested at least 7 days in advance, subject to our availability. Subsequent reschedules may attract a re-booking fee.
  • If we are unable to perform due to illness, accident, equipment failure or any event beyond our reasonable control, we will endeavour to provide a suitable substitute professional or reschedule. If neither is possible, our sole liability is the refund of amounts paid for the unperformed Services.

5. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including but not limited to natural disasters, extreme weather, fire, flood, epidemic or pandemic, strikes, civil unrest, government orders, curfew, or failure of public infrastructure. In such cases the shoot will be rescheduled to a mutually convenient date without penalty.

6. Client Responsibilities

  • Providing timely access to the location, products, samples, models, and any required permissions or permits.
  • Ensuring the shoot location is safe, lawful and suitable, and that all necessary consents from property owners and persons appearing on camera have been obtained.
  • Providing accurate brand references, brief and feedback within agreed timelines. Delays caused by the Client may extend the delivery timeline proportionately.
  • Ensuring that any material supplied by the Client (logos, artwork, music, copy) does not infringe any third-party rights. The Client indemnifies us against any claim arising from such supplied material.

7. Delivery, Revisions and Archiving

  • Standard delivery is 7–21 working days from the shoot date, or as stated in the quotation, counted from the date the Client confirms selections.
  • Deliverables are supplied digitally via a download link or cloud folder. Physical media, prints or albums are supplied only if quoted.
  • One round of minor revisions (colour, crop, basic retouching) is included. Additional rounds, re-edits, composites or scope changes are chargeable.
  • Unedited RAW files, project files, and outtakes are not part of the Deliverables and are not supplied, unless specifically purchased in writing.
  • We retain a backup of final Deliverables for 90 days from delivery as a courtesy only. After that period the Client is solely responsible for storage; recovery, if possible, may be chargeable.

8. Copyright, Licence and Usage Rights

  • Under the Copyright Act, 1957, copyright in all photographs, videos and other works created by us remains with Shadow & Light Advertising at all times, unless a written assignment is executed.
  • On full payment, the Client receives a non-exclusive, perpetual licence to use the delivered Deliverables for the purposes agreed in the quotation (typically the Client's own marketing, e-commerce, social media and advertising).
  • The Client may not resell, sub-licence, or transfer the Deliverables to third parties, or supply them to stock libraries, without our prior written consent.
  • Deliverables must not be materially altered, re-edited, filtered or manipulated in a way that misrepresents the work, without our consent.
  • Credit to "Shadow & Light Advertising" is appreciated on social media and required where an editorial credit line is customary.
  • Unless the Client requests confidentiality in writing before the shoot, we reserve the right to use images and footage from the assignment in our portfolio, website, social media, awards entries and marketing.

9. Model Releases and Third-Party Consents

Where identifiable individuals appear in the Deliverables, the Client is responsible for obtaining valid model releases and consents for the intended use, unless we have expressly agreed to arrange them. Use of any Deliverable in a manner that requires consent not obtained is at the Client's sole risk.

10. Confidentiality

Both parties will keep confidential any non-public commercial information, unreleased product designs, pricing and business plans disclosed during the engagement, and will not disclose them to third parties except as required by law or to personnel and contractors bound by equivalent obligations.

11. Privacy and Data Protection

  • Information you submit through the enquiry form on this website — name, email address, phone or WhatsApp number, and project details — is collected solely to respond to your enquiry and to provide the Services.
  • We do not sell, rent or trade personal data. Data is shared only with service providers strictly necessary to operate this website and deliver the Services, and only to that extent.
  • Personal data is processed in accordance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023.
  • You may request access to, correction of, or deletion of your personal data by writing to the contact address below. We will act on such requests within a reasonable period, subject to any legal record-keeping obligations.
  • This website may use standard analytics and embedded third-party content (such as maps and social embeds), which may set cookies. You can control cookies through your browser settings.

12. Website Content and Intellectual Property

All content on this website — images, videos, text, layout, logos and marks — is owned by or licensed to Shadow & Light Advertising and is protected under Indian and international intellectual property law. No part of it may be copied, downloaded, reproduced, scraped or used for any commercial purpose without prior written permission. Portfolio work is shown for reference only and does not transfer any rights.

13. Limitation of Liability

  • Our total aggregate liability arising out of or in connection with the Services is limited to the total amount actually paid by the Client for the assignment in question.
  • We are not liable for indirect, incidental, consequential or special losses, including loss of profit, business, goodwill or anticipated savings.
  • In the unlikely event of total or partial data loss caused by equipment or media failure despite reasonable care, our liability is limited to a re-shoot where practicable, or a refund of the amount paid for the affected portion.
  • Nothing in these Terms excludes liability that cannot be excluded under applicable Indian law.

14. Third-Party Links

This website may link to third-party websites and platforms. We do not control and are not responsible for their content, policies or practices. Accessing them is at your own risk.

15. Grievance Redressal

In accordance with the Information Technology Act, 2000 and rules made thereunder, any grievance regarding this website or the processing of your data may be addressed to the Grievance Officer:

Grievances are acknowledged within 48 hours and resolved within 30 days of receipt.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved amicably. Failing that, the dispute shall be subject to the exclusive jurisdiction of the competent courts at Ahmedabad, Gujarat, India.

17. Changes to these Terms

We may update these Terms from time to time. The version published on this page at the time of your booking applies to that engagement. Continued use of this website after any update constitutes acceptance of the revised Terms.
